1. Acceptance of Terms

By accessing and using the services provided by YSS HOUSING LLC, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you should not use our services.

We reserve the right to modify these terms at any time. Your continued use of our services following any changes constitutes acceptance of those changes.

YSS HOUSING LLC provides professional computer integrated systems design and technical consulting services, including but not limited to:

• Computer integrated systems design and architecture
• Technical consulting and advisory services
• Scientific research and development services
• System integration and implementation
• Professional technical support and maintenance

The specific scope of services will be defined in individual service agreements or statements of work.

3. User Obligations

When using our services, you agree to:

• Provide accurate, current, and complete information as requested
• Maintain the confidentiality of any account credentials or access information
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

All content, materials, and intellectual property provided by YSS HOUSING LLC, including but not limited to software, documentation, designs, methodologies, and deliverables, remain the property of YSS HOUSING LLC unless otherwise specified in a written agreement.

You are granted a limited, non-exclusive, non-transferable license to use the deliverables provided to you solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

5. Client Responsibilities

Clients engaging our services agree to:

• Provide timely access to necessary systems, data, and personnel
• Provide accurate and complete information required for service delivery
• Review and approve deliverables within agreed timeframes
• Make timely payments according to the agreed payment terms
• Maintain appropriate backups of critical data and systems

6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Fees are due according to the payment schedule outlined in the service agreement
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of services and continues for a period of five years unless otherwise specified.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Our services are provided on an as-is basis without warranties of any kind, express or implied
• We do not warrant that our services will be uninterrupted, error-free, or meet all your requirements
• We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement
• Technology solutions may have inherent limitations and risks that cannot be completely eliminated

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• We are not liable for damages resulting from your failure to maintain adequate backups or security measures
• We are not responsible for third-party products, services, or systems

10. Indemnification

You agree to indemnify, defend, and hold harmless YSS HOUSING LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any rights of third parties
• Your negligence or willful misconduct

11. Term and Termination

Service agreements may be terminated:

• By mutual written agreement of both parties
• By either party with written notice as specified in the service agreement
• Immediately by us if you breach these terms or fail to make required payments
• Immediately by either party if the other party becomes insolvent or files for bankruptcy

Upon termination, you must pay all outstanding fees and return or destroy any confidential materials.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations are unsuccessful
• Binding arbitration in accordance with the rules of the American Arbitration Association
• The arbitration shall take place in Los Angeles County, California

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and YSS HOUSING LLC regarding the use of our services and supersede all prior agreements and understandings.
